These Terms of Service govern your use of majware.com and of any software, tool, document or other product supplied by Majware.

In these terms, "we", "us" and "Majware" mean the seller above; "you" means the person or organisation using the website or the products.

By accessing majware.com, using any Majware tool, downloading a trial, or purchasing any Majware product, you agree to be bound by these terms. If you do not agree, do not use the website or the products.

If you are entering into these terms on behalf of an employer or client, you confirm that you have authority to bind that organisation.

Purchases are also subject to the buyer terms of our merchant of record — see section 5.

Majware supplies digital products only: desktop software licences, browser-based tools and documentation toolkits. Nothing is shipped physically.

Current products, prices and what each licence includes are listed on the pricing page and on each product page. Product pages state the operating systems supported, the licensing model and the system requirements. Please read them before purchase — they form part of the description of what you are buying.

We may add, change, or withdraw products at any time. Withdrawing a product from sale does not revoke a perpetual licence you have already bought.

When you purchase a paid Majware product we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use that product for your own business or professional purposes, on the number of machines or by the number of named users stated for that product at the time of purchase.

Unless the product page says otherwise, a licence is per machine, perpetual, for the major version purchased, and includes updates within that major version.

You may:

• Use the software for commercial, clinical-operations, research and academic work within your own organisation.
• Install it on a replacement machine when you retire or rebuild a workstation — contact us and we will move the activation.
• Make a reasonable number of backup copies of installers and licence keys.

You may not:

• Resell, rent, lease, lend, redistribute, publish or sublicense the software, or make it available as a hosted or managed service to third parties.
• Share a licence key with anyone outside the licensed organisation, or use one key across more machines than the licence permits.
• Reverse engineer, decompile or disassemble the software, except to the extent that applicable law expressly permits this notwithstanding a contractual restriction.
• Remove or alter any copyright notice, licence enforcement mechanism or attribution.
• Use the software to build a competing product.

Team, site and volume licences are available. Email hello@majware.com with the number of seats and we will quote you. Terms specifically agreed in a signed volume or site licence take precedence over this section.

Paddle.com Market Ltd is the merchant of record for all orders placed on majware.com. Paddle handles payment processing, invoicing, tax collection and remittance, subscription management, refunds and billing-related customer enquiries.

Practical consequences of this arrangement:

• Your payment contract for the transaction is with Paddle.com Market Ltd (Judd House, 18–29 Mora Street, London, EC1V 8BT, United Kingdom), which resells our products to you. Your licence to use the software is granted by us under these terms.
• Your statement will show a Paddle descriptor rather than "Majware".
• Paddle's buyer terms at paddle.com/legal/terms apply to the payment itself, and Paddle's privacy notice at paddle.com/legal/privacy governs the payment data you give them.
• Billing enquiries can go to Paddle at https://paddle.net or to us at billing@majware.com.

An order is accepted, and the contract formed, when Paddle confirms payment and we issue your licence key. We may decline an order — for example where a payment is flagged as fraudulent, or where supplying you would breach sanctions or export controls under section 13 — in which case any amount taken is refunded in full.

Some documentation toolkits are sold through our Gumroad storefront instead. Those orders are handled by Gumroad under Gumroad's terms; the licence terms in section 4 still apply to the product.

List prices on majware.com are in US dollars and are exclusive of tax unless stated otherwise.

At checkout, Paddle displays the price in your local currency where supported and adds any VAT, GST or sales tax due in your jurisdiction. The total charged is always shown before you confirm payment. There are no setup fees, processing surcharges or other hidden charges.

Paddle collects and remits the applicable tax as merchant of record and issues a tax-compliant invoice for every order. Business buyers can enter a VAT or tax identification number at checkout.

We may change list prices at any time. A price change never affects an order already placed, and never affects a perpetual licence already purchased.

All products are delivered electronically and immediately. After payment is confirmed you receive an order confirmation from Paddle and a separate email from us containing your licence key and download link — normally within a few minutes.

Desktop products require a one-time internet connection to activate the licence against our licensing service. After activation they run offline indefinitely. The activation request transmits the licence key and a machine fingerprint only; it never transmits your image data, patient data or file contents.

If your licence email does not arrive, check your spam folder and then email support@majware.com. We re-issue keys and download links free of charge.

Every paid Majware product carries a 30-day money-back guarantee. Email support@majware.com within 30 days of purchase and we will refund you in full, without requiring a reason.

Refunds are issued by Paddle to the original payment method. When a refund is issued, the associated licence is deactivated and you must stop using the product.

Products sold through Paddle are one-time purchases; there is no subscription to cancel. If you are an EU or UK consumer, your statutory right of withdrawal within 14 days and your rights in respect of faulty or misdescribed products are unaffected by anything in these terms.

Paid products include email support at support@majware.com. We aim to respond within one business day, Monday to Friday. Support covers installation, activation, defects and questions about intended use; it is not a consultancy or implementation service.

Updates within the major version you purchased are included at no extra cost. A future major version may be a separate paid product; if so, we will offer existing licence holders an upgrade path.

We may discontinue support for a product or a platform with reasonable notice. Discontinuing support does not disable software you have already licensed.

The browser-based tools on majware.com — the DICOM Header Validator, DICOM Anonymizer, HL7 Message Viewer, HL7 to FHIR Converter and Healthcare IT Diagram Builder — are provided free of charge, as-is, for IT engineering purposes.

They process files entirely in your browser. No file you load is transmitted to our servers. Some export formats ask for an email address in exchange for the export; you can unsubscribe at any time.

Free tools may be changed, limited or discontinued at any time without notice. No service level, availability commitment or warranty attaches to them.

Trial versions of paid software are licensed for evaluation only, for the trial period or usage limit stated, and may not be used in production once that limit is reached.

Majware products are IT engineering utilities. They are not medical devices, not clinical software and not regulated healthcare products. They are not intended for diagnosis, treatment, monitoring or any other clinical decision-making, and they have not been submitted for regulatory clearance under any medical device regime.

De-identification, validation and conversion tools assist a competent professional; they do not replace one. You remain responsible for verifying that outputs meet your organisation's obligations under HIPAA, the GDPR, national data protection law and your own institutional policy, and for site-specific risk assessment and compliance review before using any output in a live environment.

Always validate outputs on representative data in a test environment before relying on them. Do not use any Majware product as the sole control protecting patient data.

You are responsible for the lawfulness of the data you process with our software, for having the authority and legal basis to process it, and for the security of the machines you install it on.

Our desktop software processes files locally. We do not receive, store or have access to the contents of the files you process. See the Privacy Policy for what we do collect.

You agree not to use Majware products or the website to break any applicable law, infringe anyone's intellectual property, transmit malware or spam, attempt unauthorised access to our systems or those of others, circumvent licence enforcement, or place unreasonable load on our infrastructure through automated means.

Our software may be subject to export control and sanctions laws. You may not use, export or re-export any Majware product in breach of those laws.

You confirm that you are not located in, and are not ordinarily resident in, a country or territory subject to comprehensive trade sanctions, and that you are not a person or entity listed on any applicable restricted-party or sanctions list. We may refuse or cancel an order and refund it where supplying you would breach these rules.

All software, source code, documentation, articles, guides, reference data, tool code, design and branding on majware.com are owned by Majware or its licensors and are protected by copyright and other intellectual property laws.

Purchasing a licence transfers no ownership. All rights not expressly granted in section 4 are reserved.

You may quote brief extracts from our written content with attribution and a link. You may not reproduce, republish or redistribute substantial portions of it, or use it to train a machine learning model, without our written permission.

Third-party components distributed with our software remain subject to their own licences, which are listed in the documentation accompanying each product.

We warrant that paid software will perform substantially as described on its product page for 30 days from purchase. Your remedy for a breach of this warranty is a repair, a replacement, or a refund under section 8 — at our option, and in practice usually the refund, because it is faster for you.

Beyond that warranty, and to the maximum extent permitted by law, products and tools are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that any product is error-free, uninterrupted, or that it will meet a particular regulatory requirement.

If you are a consumer, nothing in this section removes or limits your non-excludable statutory rights.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.

Subject to that, and to the maximum extent permitted by applicable law:

• We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, business, goodwill, anticipated savings, or loss or corruption of data, however caused.
• Our total aggregate liability arising out of or in connection with a product or these terms is limited to the amount you paid us for that product in the twelve months preceding the event giving rise to the claim.

Because our products are inexpensive relative to the systems they are used on, this allocation of risk is a fundamental basis of the price. If it is unacceptable to you, do not purchase — and if you have already purchased, use the refund guarantee in section 8.

Consumers: these limits apply only to the extent permitted by consumer law in your country; your non-excludable rights are unaffected.

A perpetual licence lasts indefinitely unless terminated.

We may suspend or terminate a licence if you materially breach these terms — in particular by redistributing the software, circumventing licence enforcement, or continuing to use a product after its purchase has been refunded or charged back — and you do not remedy the breach within 14 days of written notice.

On termination you must stop using the product and remove it from your machines. Termination for breach does not entitle you to a refund. Sections 14 to 19 survive termination.

We may update these terms from time to time. The "last updated" date at the top of this page shows when they last changed.

Changes apply prospectively. The terms that govern a purchase are those in force on the date you made it — we do not retroactively alter the deal on a licence you already own. Continued use of the website or of a product after a change constitutes acceptance of the updated terms for future purchases.

These terms are governed by the laws of the United Kingdom, and the courts of that jurisdiction have non-exclusive jurisdiction over any dispute.

If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer law in your country of residence, or of the right to bring proceedings there.

Please contact us first. Almost every dispute we have ever had was a misunderstanding that one email resolved, and our refund guarantee removes most of the reasons a dispute would arise in the first place.
